Business formation and maintenance of California Corporations and LLC’s, Delaware Series LLC’s, Nevada entities

Served as special counsel to an established credit and finance company. Counseled the CEO and majority owner of the company on compliance, legal and business issues;

Retained by Start-Up Internet Company to provide advice on structure of private capital investment;

Consultant to an AV-rated law firm to obtain funding for litigation expenses incurred by firm in major medical malpractice case;

Advised an aerospace company in Los Angeles on obtaining funding for the purchase and lease back of a Pratt/Whitney jet aircraft engine;

Represented an Ice Cream Export Company in London, U.K during negotiations of a private convertible debt offering as well as agreements with the product Distributor and Retailer.

Real Estate

Conducted Due Diligence Review and advised bank client on sale of 65 million dollar commercial loan portfolio to a group of private investors.

Representative for Wells Fargo Bank, Union Bank, Sanwa Bank, Comerica, Washington Mutual and several other financial institution creditors in loan workout, credit evaluation, portfolio sales and bankruptcy proceedings.

Litigation

Significant Law and Motion as well as Trial work in a variety of areas ranging from simple breach of contract claims to more complex multiparty actions.

The Firm is currently representing clients with claims under California Finance Lending laws and the Federal Truth in Lending Act among others.

The Firm has served as Attorney of record in over 800 cases in California; responsible for negotiating structured settlements with opposing counsel and/or pursuing the cases to trial and judgment.
